TOKYO OHKA KOGYO CO., LTD. (Headquarters: Kawasaki, Japan/ President: Noriaki Taneichi, hereinafter the “Company”) announced that the Board of Directors resolved at its meeting held today to acquire shares of AIMECHATEC, Ltd. (hereinafter "AIMECHATEC”), the counterparty of the transfer of the Company’s Equipment Business (excluding certain parts) and the collaboration, from its major shareholders of Polaris Private Equity Fund III, L.P. and TIARA CG PRIVATE EQUITY FUND 2013, L.P. on September 30, 2022 as follows.

The Company hereby announces that this transaction falls under the “Act of share purchase specified by Cabinet Order as being equivalent to a tender offer” as stipulated in Article 167, Paragraph 1 of the Financial Instruments and Exchange Act and Article 31 of the Order for Enforcement of the Act.
