TOKYO OHKA KOGYO CO., LTD. (Headquarters: Kawasaki, Japan/ President: Noriaki Taneichi, hereinafter the “Company”) announced that the Board of Directors resolved at its meeting held today to enter into a master agreement concerning the collaboration with AIMECHATEC, Ltd. (Headquarters: Ryugasaki-shi, Ibaraki, Japan/ President: Isao Abe, hereinafter "AIMECHATEC”) (hereinafter the “Master Collaboration Agreement”) for the collaborative value creation through a follow-up support by the Company’s Material Business for the semiconductor and display equipment business of the Company’s Process Equipment Manufacturing Dept., which will be transferred to AIMECHATEC (hereinafter the “Collaboration”).

1. Background of the Collaboration

The Group has been striving to improve its profitability and cash generation capability and enhance its corporate value through selection and concentration under the management vision to become “The e-Material Global Company^Ⓡ contributing to a sustainable future through chemistry” (Note), its overarching aspiration for 2030.

To concentrate management resources on its core Material Business, the Company has decided to transfer its Equipment Business (excluding certain parts) to AIMECHATEC, equipment manufacturer with advanced technological and customer support capabilities, which develops, designs, manufactures, and sells LCD panel manufacturing equipment, etc. and provides after-sales service in Japan and overseas with fine coating technology and high-precision bonding technology as its core technologies (for details of the decision on the transfer, please refer to the Company’s press release dated September 26, 2022, “Notice of Transfer of the Equipment Business (Excluding Certain Parts) Through Company Split and Share Transfer”). The Company has also decided to proceed with the Collaboration as it expects that the Collaboration between its Material Business and the target business after the transfer to AIMECHATEC will contribute to the development of a new Materials & Equipment (M&E) strategy by the Company and AIMECHATEC.

2. Future outlook

The Company and AIMECHATEC have agreed to establish the Collaboration Preparation Committee promptly after the conclusion of the Master Collaboration Agreement and will continue discussions on the specific methods and details of the collaboration aimed at maximizing the corporate values of both companies by making maximum use of the management resources and know-how of both companies.

The Company is currently evaluating the impact of the Transaction on its business performance for the current fiscal year, and we expect it to be insignificant. We will announce promptly if any matter that should be disclosed arises.
